Welcome to Plaiground ("Site"). These Terms of Service ("Terms") govern your use of our website. By accessing or using the Site, or by submitting an application through our intake forms, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Services

This Site presents our embedded fractional AI engineering model and allows prospective clients to apply for our services.

• Application Process: Submitting an application, requesting an AI plan, or booking a call does not guarantee acceptance or obligate Plaiground to provide engineering services.
• Separate Agreement: These Terms only cover your use of this website and our application funnel. Actual client engagements are strictly governed by a separate signed agreement.

3. Eligibility

By using this Site or applying for our services, you represent that you are at least 18 years old, are using the Site for commercial/business purposes, and have the authority to bind your company to these Terms.

4. Use of the Site

You agree to use the Site only for lawful purposes. You are prohibited from violating or attempting to violate the security of the Site, submitting false or misleading information in our application forms, or using automated systems (bots, scrapers) to harvest data from the Site.

5. Intellectual Property

• Site Content & Portfolios: All text, visuals, and design on this Site are the property of Plaiground LLC or its respective clients. Case studies and portfolio work may include client-owned trademarks, logos, or materials, which are displayed for portfolio reference purposes only and remain the property of their respective owners. Nothing on this Site grants you a license to use any of this content.
• Pre-Existing IP: Plaiground retains exclusive ownership of all our pre-existing software architectures, proprietary code libraries, and prompt frameworks used during any diagnostic or evaluation phases. No license is granted to you under these Terms.

6. Marketing Claims & Guarantees

Our marketing materials may reference a framework to "ship one production-ready AI system every single month" or a "30-day delivery or we work at our own expense" guarantee.

You explicitly acknowledge and agree that any such guarantees are strictly conditional marketing performance goals and are not absolute warrants of technical execution under these Site Terms.

Any binding delivery guarantee is contingent upon the following "Client Dependencies," the failure of which immediately voids any timeline representation:

• Infrastructure Access: Client providing prompt, uninterrupted, and secure administrative access to all necessary internal tools, Slack workspaces, code repositories, databases, and third-party software environments.
• API Availability: The continuous, uninterrupted uptime and functional availability of third-party APIs (including but not limited to OpenAI, Anthropic, Google Cloud, AWS, Vercel, or custom ERP/CRM architectures).
• Timely Feedback: Client providing approvals, data clarifications, and engineering feedback within twenty-four (24) hours of a request by a Plaiground team member.
• Scope Finalization: Client refraining from altering, expanding, or modifying the agreed-upon system architecture requirements mid-cycle.

7. Third-Party Services

Our Site links to Cal.com for scheduling purposes. By using Cal.com through our Site, you are subject to Cal.com's own Terms of Service and Privacy Policy. Plaiground LLC is not responsible for the practices or content of any third-party services.

8. Disclaimer of Warranties

The Site and all intake forms are provided on an "as-is" and "as-available" basis, without warranties of any kind, either express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses. While we use the Site to evaluate prospective business fits, Plaiground LLC makes no guarantees regarding the operational outcomes of any initial diagnostic suggestions or assessments provided prior to entering a formal signed contract.

9. Limitation of Liability

To the maximum extent permitted by law, Plaiground LLC, its officers, employees, or embedded engineers shall not be liable for any indirect, incidental, or consequential damages (including lost profits, data loss, or business interruption) arising out of your use of the Site or reliance on our marketing materials.

10. Miscellaneous

• Modifications: Plaiground reserves the right to modify or replace these Terms at any time. Any changes will be posted directly on this page with an updated "Last Updated" date. Continued use of our Site or application portals following any modifications constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.
